Armada Acquisition Corp. II (Nasdaq: XRPN), the SPAC merging with Evernorth, filed an 8-K with the SEC on October 5, 2026, and its shareholders have approved the business combination. The filing discloses a warrant amendment signed with Continental Stock Transfer & Trust, the warrant agent, to align the Warrant Agreement with the IPO prospectus. Warrants become exercisable on the later of the completion of the business combination or 12 months after the IPO closing. The exercise price is $11.50 per Class A share. Closing is expected October 7, with Nasdaq trading under XRPN beginning October 8. At closing, Evernorth expects to hold approximately 473 million XRP, which would make it the largest publicly traded pure-play XRP treasury company. Completion remains subject to customary closing conditions, and trading is subject to Nasdaq listing approval.
